As a member, you will not just be a customer of The Generator, you’ll be an active part of what The Generator is and does for you and others. 1.1 Acceptance of Terms The services Cowork Ventures Ltd (“GENERATOR”) provides to you (“MEMBER”), the undersigned (including but not limited to use of office space, access to Internet, etc.), are subject to the following Terms of Use (“TOU”) and any other Policies made available from time to time. GENERATOR reserves the right to update the TOU at any time without prior notice. 2.0 Definitions “Deposit” means advance payments added to the MEMBER account to ensure continuity of Service and other payment considerations, including but not limited to, variable rates. “Fee” means the fee specified on the website, or agreed in your Membership Schedule, as applicable to your Membership, and as may be varied by GENERATOR from time to time. “Home Space” means the space where your membership is based; Membership at one space location may include restrictions on using other space locations (contact your Office Manager for details). “MEMBER” means a person or group of named people granted Membership by GENERATOR. “Membership” means the membership level selected by you. “Minimum Term” means the minimum period for which a Membership commitment is being made. The Notice Period must be respected if a MEMBER intends to Terminate their Membership at the end of the Minimum Term. Minimum Term can be any period up to 24 months, typically 1, 3, 6 or 12 months. “Notice Period” is the period in calendar months that MEMBER must give ahead of terminating a Membership. Notice Period cannot fall within the Minimum Term. “Policies” mean any of our codes of conduct, policies and procedures made available to you, as added or amended by GENERATOR from time to time. “Services” means the services included in your Membership and are defined herein. “Space” means the buildings and facilities where GENERATOR work hubs are located, including but not limited to The Gallery / 3rd Floor, Kings Wharf, The Quay, Exeter, EX2 4AN. “Variable Charges” means any charges separate to the Membership Fee, such as but not limited to meeting room bookings, printing, lockers, catering, postage & registered office, telephony, and casual day usage. “Your Property” means any equipment, documents, property or possessions that you bring into the space. 3.0 Description of Services GENERATOR may provide you with access to office space, work stations, internet access, office equipment, conference space, meeting rooms, knowledge resources, and other services as GENERATOR may provide from time to time (collectively, “Services”). The Services at all times are subject to the TOU. All MEMBERS will require a full in-person INDUCTION prior to agreeing to becoming a member of The Generator work space. 4.0 Membership Fees GENERATOR will provide MEMBER with the Services in consideration for MEMBER paying the Fee. The Fee is scalable to the services used by MEMBER and is always due in advance of the Service. The Fee should be paid either by BACS/Standing Order/ (an invoice will be sent via email) or by Debit / Credit card (through our third party booking service provider AndCards, see section Invoicing and Payment). Payment method will be specified in advance of invoicing by GENERATOR and may be subject to change depending on business requirements. Any Variable Charges or additional service fees will be invoiced separately using either of these payment methods. 5.0 Invoicing and Payment 5.1 Recurring Invoice Membership Fee: MEMBER is automatically invoiced monthly in advance for payment via BACS based on their Membership option. MEMBER or billing representative will set up a Standing Order agreement to pay the Membership Fee. Payment is required at the beginning of the month, by the 7th calendar day of the month, for that period. Where MEMBER believes Membership Fee payment requirements cannot be met, it is advised that additional Deposit funds are added to the MEMBER account. Fee is due regardless of whether MEMBER or representative receives an invoice; invoice is generated systematically and sent by email; invoice duplicates will be provided by GENERATOR on request. Late payments may incur a late payment fee of 10% the monthly rent. This will be added to the subsequent month's invoice. 5.2 AndCards Invoice Membership Fee GENERATOR will ask MEMBER to sign up to AndCards; a third party application used by GENERATOR to manage and create bookings for users (bookings will record MEMBER presence for fire evacuation reasons, prevent oversubscription of available desk space and allow MEMBER to book meeting rooms). Debit / Credit card details must be added to allow GENERATOR to raise invoices and automatically receive MEMBER fees. Payments for MEMBER fees will be taken automatically immediately after the invoice has been raised on the 1st of each month. GENERATOR will have access to all supplied MEMBER information on the AndCards platform. This application is managed and created by andcards Sp. z o.o. This means GENERATOR can not take responsibility for any bugs or errors that occur on the application. If a problem occurs, GENERATOR is responsible for making sure this is reported to andcards Sp. z o.o. MEMBER is not able to amend their service tariff via the AndCards platform. This can be done by emailing GENERATOR (space@generatorhub.co.uk). Changing tariff will result in changed costs for services used, equal to the chosen tariff. 5.3 Service Bookings Bookings for services (meeting rooms, postal, locker, desks/extra desks) can be made either via reception or using the AndCards application. Instruction to do so and assistance using the application can be given by GENERATOR staff. Once a booking is made, staff can edit, cancel and amend booking details, by request. GENERATOR will not edit any bookings unless given written permission to do so. GENERATOR has the ability to access a user account on the AndCards platform. This feature is used when a member has issues booking and requires assistance from GENERATOR. GENERATOR reserves the right to use this feature when requested. GENERATOR requires multiple person desk bookings to be made in advance due to the capacity of the cowork space. Any groups of two persons or above should pre-book desks. Without pre-booking, a pair/group will be taking the risk of space being unavailable. For Services booked through AndCards, payment will be taken immediately after purchasing the services used. 5.4 Variable Charges: Will be invoiced separately to the Membership Fee (either via BACS or Debit / Credit card). Will be invoiced for the previous period, collected in arrears, unless payment was made on the day the Variable Charge was incurred. Will be due within 30 days. It may become possible to pay for Variable Charges on the day; where this can occur, invoices will be raised on demand and/or receipts provided. Where Variable Charges are being consumed by a non-Member or MEMBER who has given notice of Termination, then Fees will be requested in advance. 5.5 Deposits: Deposits will be taken from Dedicated members only. This will be equivalent to 1 month’s rental cost. If rental costs change, deposit requirements will change to reflect changing costs. Deposits will be recorded and kept safe for full return at the end of the term providing there is no damage to dedicated space/private office, or payment deficiencies. Any costs incurred to clean and fix any damage in the office space will be deducted from the deposit. If the deposit held does not cover any such repairs, an additional fee will be charged. 6.0 Renewals and Terminations The Membership Schedule (Dedicated Members only) is automatically renewed at the end of the Minimum Term and subject to the Notice Period. All memberships (except Daily Desk Members) are aligned to the calendar month and cannot end mid-period. Any Termination Notice is extended to the end of the full calendar month after the Notice Period date. MEMBER may terminate or amend Membership tariff by giving written notice of termination/change by email (space@generatorhub.co.uk). Should MEMBER not provide timely notice of termination to GENERATOR before Fees are due, then the Membership Period shall continue to the end of the following service period for which Fees are paid. Example: If MEMBER wanted to have their final Membership month as November 2021 (end date 30.11.21) then a 1 month Notice Period should be served by (no later than) 31st October 2021. For the avoidance of doubt during a Minimum Term, if MEMBER intends to terminate Membership at the end of the Minimum Term then Member should confirm Termination prior to the associated Notice Period. Example: If a Member had a Minimum Term ending 30th April 2021 and Notice Period of 1 month, then written notice of termination should be received by 31st March 2021 GENERATOR reserves the right to terminate any Service at any time, immediately and without notice, if MEMBER fails to comply with the TOU. This includes non-payment or violation of the space rules. If this happens, GENERATOR will refund any amounts paid for unused periods that remain after deducting any pending charges, on a prorata basis. GENERATOR reserves the right to terminate any Services at any time before a MEMBER minimum term has been served should any unforeseen circumstances arise that result in GENERATOR ceasing to lease the building/space. If this situation should arise, GENERATOR will issue MEMBER 1 full calendar month’s notice to cancel their Membership Schedule and for MEMBER to vacate the premises. 7.0 Service Use 7.1 No Unlawful or Prohibited Service Use As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any server, or the network(s) connected to any GENERATOR server, or interfere with any other partyʼs use and enjoyment of any Service. You may not attempt to gain unauthorised access to any Services, or accounts, computer systems or networks connected to any GENERATOR server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. You hereby represent and warrant that you have all requisite legal power and authority to enter into and abide by the terms and conditions of this TOU and no further authorisation or approval is necessary. You further represent and warrant that your participation or use of the Services will not conflict with or result in any breach of any licence, contract, agreement or other instrument or obligation to which you are a party. 7.2 Service Fair Use Policy You agree that when participating in or using the Services, YOU WILL NOT: Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming, spimming, or any duplicative or unsolicited message (commercial or otherwise); Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through GENERATOR servers, notice boards, events or GENERATOR spaces; Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same; Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party; Upload files that contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of anotherʼs computer or property of another; Download any file(s) that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner; Restrict or inhibit any other user from using and enjoying the Services; Violate any code of conduct of other guidelines which may be applicable for any particular Service; Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party; Violate any applicable laws or regulations; Create a false identity for the purpose of misleading others; Use a service without prior / retrospective payment of required / agreed fees (including but not limited to registered office, postal service, lockers, printing, breakout pods & meeting rooms. You acknowledge that you are participating in or using the Services at your own free will and decision. You acknowledge that GENERATOR does not have any liability with respect to your access, participation in, use of the Services, or any loss of information resulting from such participation or use. 8.0 On-Site Etiquette 8.1 Building Rules: It is expected that you will observe the quiet enjoyment and normal use of the Building at all times and not damage or deface the Building or its fixtures, fittings, decor and furnishings. You will not compromise the Building or its protection from fire, flood, gas, electricity, or weather. You will not compromise the building security or the security of the spaces therein and will ensure that all reasonable measures are taken to safeguard the GENERATOR buildings, occupants and the occupants possessions. At no time should security locks be bypassed or left in an open position and external doors should never be propped open / left unlatched whilst unattended. When accessing the building, do not allow anyone to access with you that you do not recognise. Everyone entering the building must either have a buzzer fob or must buzz the relevant office to which they are going to. You cannot take or make phone calls in communal building areas in order to prevent disturbing other companies within the building (for example in stairwells). Calls that cannot be taken in The Generator workspace must be taken off-site and away from the building. Members of the Generator can only park in designated parking spaces that they have paid for. We ask all members not to use The Generator parking spaces, or any other on-site parking spaces without an agreement in place. Members may be charged a £100 fine should any unauthorised vehicle be identified. You must lock bikes up in the designated bike rack areas only and not in the shared stairwells / open office areas. 8.2 Office Rules: Please do not exit the office via the fire exits unless there is a fire or you are using our terrace areas. The building owner behind The Generator has permitted us access in the case of a fire/emergency, however beyond the stone steps and the wooden fence is private property and therefore should not be accessed by any GENERATOR member (except for emergencies). Please stay on the terrace areas only and exit the building via the main stairwell. GENERATOR must approve any additional furniture in the space, this includes desks, chairs, artwork or other office equipment. You may not fix anything to the internal office walls without prior consent. You must not store excessive items in the office and cannot exceed limitations on given space and storage. You must keep your desk clean and tidy (our cleaning staff will not touch Dedicated Member desks) and also keep under your desk clutter-free so our cleaning staff can hoover the floor space effectively. If you have a private office and would like this serviced, please speak to a member of the team. You may be asked to relocate desks at any stage of your membership with us. We will talk to you in person before this occurs to explain the reasons why and discuss alternative options. Please inform reception of visitors prior to them accessing the space. All visitors must be signed in via reception. You are fully responsible for your visitor during their visit. Dedicated Desk Members only will be granted a monthly quota of free meeting room access. On reaching the allocated quota, all further bookings will be charged. All other members will be charged for meeting room access. Printing and locker services are available and chargeable to all members - please speak to reception for costings and availability. You cannot use our office as a registered/postal address in your membership unless the tariff permits this. Once your membership is terminated, this service is no longer free of charge. Complimentary tea, coffee, sugar and milk are available to all members - please provide your own specialist products where needed and store these in personal boxes / labelled in the fridge. Do not leave / store unlabelled items in the kitchen areas / cupboards - please store in private boxes provided. You may store items in our fridges. Please label items before storing in fridges. Our fridges are deep cleaned regularly and any unlabelled and out of date items will be disposed of - GENERATOR will not be liable for any replacements. Please help us to get rid of all waste efficiently by reading what can and cannot be recycled in the bins provided. Please ask a member of staff if you are unsure. When getting rid of excess waste, you will be charged extra for the cost of all waste bags. You can use the on-site showers. Do not store items in these areas. Please leave shower rooms and bathrooms clean and tidy. Report any issues to GENERATOR staff immediately. Kings Wharf is a NO SMOKING site. If you wish to smoke, please vacate the building via the upper or lower exits and stand well away from the building. Do not smoke in the car park or out of any window or in any of the private external areas. We have a zero tolerance for aggressive and abusive behaviour, including swearing and shouting both towards our staff and other Members and during personal phone calls. 9.0 Noise Policy When working in an open plan office, such as The Generator Hub, members must be considerate of those around them in ensuring that their noise levels are managed effectively so as not to distract others. It is completely acceptable to take phone calls and have meetings at your desk, provided you abide by the following: The average noise level in an office is 70 dB. We ask all members to be aware of this and encourage you to check your own conversational level using a decibel app (e.g. Sound Meter). Under no circumstances must any MEMBER have an OPEN / TWO WAY meeting (physical or online) in any open plan areas. This can be very disruptive to others around them. If you have a loud meeting planned or you are unable to control the level of your voice, we ask that you book a meeting room. If there are no available meeting rooms, please speak with a member of GENERATOR staff. Do not have your mobile phone or laptop / computer device speaker on in the communal space, and preferably when in any meeting rooms if you are the sole attendee. We recommend using high-quality headphones when taking / making phone calls and having meetings at your desk - but it is also very important to be aware of your own volume when using headphones, therefore we recommend leaving one headphone slightly off so you can hear your own volume. No music or entertainment should be played out loud in the work space, unless in the designated Community Area and with prior agreement from GENERATOR staff. Please ensure your mobile phone ringtone is not set too high incase it rings when you are not around to answer it. If we do receive any noise complaints, we will speak with the member in question in private in order to resolve the issue. 10.0 Key-holder Responsibilities A key-holder is deemed to be any person who takes possession of access codes to any GENERATOR building. Key-holders acknowledge and accept responsibility for the security of the doors and spaces they are permitted to access. The key-holder is expected to secure the building when either they believe they are the last person on the premises or any time after 18:00 pm. Key-holders must acknowledge and accept the TOU’s of the key-holder agreement (below). 10.1 Key Holder Agreement The Generator office is typically staffed between 8:30 am and 18:00 pm from Monday to Friday – during this time the office is the responsibility of GENERATOR (unless on a Bank Holiday, during national lockdown or staff absence/sickness). The Generator staff member last on site will survey the whole office areas, ensuring that all windows and doors that are not in use, are secured. After this staff member has left the site, the responsibility falls on you, the MEMBER. For Members with Key Holder responsibilities, upon starting your term at The Generator, you will be provided with access using a digital key, and /or PIN code, and lock box codes. The digital key / PIN code gives you access to the building via the upper and lower external building doors. The other office keys to access The Generator office areas are to be used when you are either the first on site, or the last off site - and can be accessed via the lock boxes as described below. 10.2 Office Access & Closure TO ACCESS THE MAIN RECEPTION ROOM AREA (Gallery Level) AND ADJACENT OFFICE AREAS Open the lock box adjacent to the reception door to retrieve the main door key using the code supplied by Generator Staff - this code may be changed regularly for security reasons. You will be informed of any changes in advance. After opening the front door, immediately replace the key in the lock box and shuffle up the code. The two internal glass doors can be opened using keys accessed in adjacent lock boxes. The codes for these will be provided by Generator staff and will be changed regularly for security reasons. You will be informed of code updates. TO ACCESS THE SECOND & FOURTH FLOOR OFFICES You will be supplied with a door code to access this office - please keep this code secure. The Generator may change this code regularly for security reasons and to permit current members access only. IF YOU ARE LAST ON SITE PLEASE FOLLOW THESE TASKS: There are three areas to the Generator Hub - [1] the Gallery level front; [2] the Gallery level rear; and [3] the second floor front areas. We expect the last person on site in each area to be responsible for closing down and securing their own area as detailed below. We expect all lights to be turned off, including main lights, meeting rooms, spot lights, and kitchen lights (please familiarise yourself with the location of all light switches for your area). Make sure all windows are locked shut. All fire exits and doors are shut / secured. The glass door between the kitchen and main office to your wing is locked shut and the key placed back in the lockbox (mix the lock box code up). Lock the main entrance office glass door behind you (using key from the lock box - mix up the code). Failure to follow these steps is a security risk to the space and will result in a review of your Membership Agreement. The intention is to enable 24/7 access while keeping security at a level anyone would expect as normal in their own home. If you are accidentally locked within any of the spaces - DON’T PANIC: you can exit via any one of the fire exits. Just ensure you close the fire exit door behind you. During out of hours, the building is locked and checked over by SECURE FORCE. Access in and out of the building after 9 PM and before 6 AM can only occur via the upper rear door, which is further secured by closure of the car parking and pedestrian access gates. If you need out of hours access, please ask a member of staff for the pedestrian gate code. In case of emergencies, SECURE FORCE can be contacted on: 01626 362424. 11.0 CCTV The Generator has set up CCTV recording in the space. These cameras are placed around the office to watch for: Activity outside of office hours. Monitor office behaviour if a member of staff is unavailable. To observe the last person leaving, if the steps above are not followed. The Generator owns the rights to any footage recorded. If you would like to question staff about a particular date/event, then The Generator can provide access with the right reason. For example, if something goes missing from your desk, this would be a reasonable request to review the footage. Please talk to a member of staff about this. 12.0 Fire Safety & Evacuation The Building Manager (Turner and Locker Barnfield) and GENERATOR have put the correct safety precautions in place in the event of a fire. The Building Manager is responsible for any equipment within the communal areas, i.e. the main stairwell. Regular checks are provided by the Building Manager to ensure equipment is safe. This includes: Fire Extinguishers Scheduled alarm tests Fire evacuation practice Emergency lighting The Building Manager is responsible for weekly fire alarm checks within the Kings Wharf Building. Unless otherwise told, there is no action required during these weekly alarms. A 6-month evacuation test will also be held to practice the evacuation procedure safely, however no warning will be given to both Generator Staff and our members. GENERATOR has taken full precaution to make sure the workspace is safe for all Members by providing the correct signs, showing exits and maintaining fire equipment. Fire extinguishers are placed within regulatory distance from each other and fire escapes are kept clear from any obstructions. GENERATOR has nominated Riina Lehtoviita (Office Manager) as the primary Fire Warden. In absence of Riina Lehtoviita, Liz Finnie, Neil Finnie, Jim Strong, and all other Generator Staff are also trained Fire Wardens. Duties of the Fire Warden include: Ensuring safe evacuation Providing information on Fire Evacuation when requested Ensuring all Members are accounted for upon evacuation In the event of a fire, the following steps will be taken: The building alarm will be triggered and will sign that there is a emergency The nominated fire warden will alert everyone that the residents need to evacuate the premises A route of evacuation will be shown, this will either be via the main entrance or the labelled fire exits The fire warden will check each GENERATOR office to ensure everyone has evacuated The meeting point is: BEYOND THE UPPER CAR PARK GATES Please stick with other members of The GENERATOR once evacuated and do not leave until the Fire Warden knows you have evacuated safely Do not enter the building until directed to by a member of staff Note: If you wish to leave the area during the time of evacuation, please make the Fire Warden aware. 13.0 Health & Safety As MEMBER of The Generator, you are responsible for your own personal safety. GENERATOR staff will maintain the space to be a safe working environment. Due to the nature of the business structure, GENERATOR is not required to have a trained First Aider: however we do train our employees as first aiders. In the event of an accident, please contact a member of staff immediately. The following information describes the Health and Safety procedures in The Generator: Fire Procedure – If there is a fire and we do need to evacuate the building, please exit the main office doors into the stairwell, head up the stairwell to the upper back exit, walk through the car park and wait for the Fire Warden. If the stairwell is inaccessible, please use any of the fire exits within the main office areas (these are clearly signposted and should be highlighted to you during your induction). Fire Extinguishers – These can be found in the office areas and the main stairwell. Although the extinguishers are there, please do not attempt to fight the fire yourself unless it is completely safe to do so. If the fire does get out of control then please evacuate the building. Accidents – If you do have an accident then please let a member of staff know. If you are badly hurt then extra help will be called. In all circumstances, please complete our accident log book. The First Aid Kit – If you are in need of a First Aid Kit, one can be located in all Kitchenette areas under the sink or where shown during your induction. If you do use the First Aid Kit then please let someone know if you need extra help. Manual Handling – This may seem simple but if you are lifting any heavy objects, lift from your knees NOT your back. Crouch down to pick up anything, otherwise you could hurt yourself. 14.0 Children and Dogs As in any commercial office or studio, GENERATOR is not covered for the risks and liabilities associated with children or dogs on site. Consequently, the presence of children and dogs is highly discouraged and they must only enter the premises at their own risk and that of their carers / owners. During global pandemics, children are not permitted on-site without prior notification to mitigate health & safety risks to our employees and members. If a child MUST come on site, please speak to a staff member in advance. We politely request that children do not sit in any cowork areas. Only DEDICATED members are permitted to bring dogs on site with prior permission, and MUST acknowledge our Dog Policy Agreement below. 14.1 Dog Policy Agreement For our DEDICATED MEMBERS ONLY, dogs are welcome into both the open plan / cowork and private office areas throughout the Generator Hub. However, in order to prevent the space from being over-populated with dogs, we do have a waiting list and may have to refuse dogs coming on site. All dogs must be leashed (standard 6 foot leash) or remain in a closed private office / under desk (ideally in a basket). Under no circumstances should your dog be free to wander around the space or obstruct any walk ways. Dogs must be well-behaved, show no aggression towards staff/members, and are not permitted to bark. If your dog shows any of these traits you will be asked to remove the dog from the site (indefinitely - unless you can prove this behaviour has been resolved). Please ensure your dogs are treated accordingly for fleas / worms and any other programmes to omit dog-related conditions that may impact other members at The Generator Hub. If your dog has regular accidents anywhere in the office or shared building walkways, you will be asked to remove the dog from the site and can only return it when fully trained. You as the owner are fully responsible for clearing up all accidents (please inform a member of staff should an accident occur). You may not permit your dog to exit The Generator Hub through any external door to ‘go to the toilet’ EXCEPT the main lower front and top car park building entrances/exits. The Generator Hub does not wish for any of our private outside spaces to become a dog toilet. Please respect this. On exiting the building with your dog, you must ensure that all dog waste is cleaned up appropriately and disposed of in an external dog-waste bin - DO NOT BRING ANY DOG WASTE INTO THE OFFICE FOR DISPOSAL IN OUR BINS. If we become aware that another member of The Generator Hub is afraid of or allergic to dogs, you may be asked to relocate desks and/or not to permit the dog in certain places around the office. In certain situations you may be told you can no longer bring your dog into the office. This will be discussed in person with you. If you have been given permission by a member of The Generator Team to bring your dog on site, you do not need to check the dog in and are free to bring him/her in with you when you are on site provided you follow all the rules above. 15.0 Insurance You are solely responsible for Your Property. As a member, you are not required, but it is strongly suggested, that you carry a Renters Insurance policy to cover your own equipment while using our space. That policy may cover your current residence/office, as well as the premises of GENERATOR. 16.0 Parking The Generator Quay House has a small number of allocated parking spaces, all of which are chargeable. Please do not park in any Generator (or other on-site company space) that you have not been allocated and have paid for. If you do park in an unauthorised space, you may be liable to a parking charge (£100). If you are allocated a parking space, this must be paid for monthly under the terms and conditions reflected above for monthly space rental. In brief, invoices will be sent out in advance of the month, on the 1st of each month for payment up to 7 days after. One full calendar month's notice is required to terminate any car parking space. 17.0. COVID-19 During the COVID-19 pandemic (or any other pandemic), we have a RISK ASSESSMENT and guidelines in place around keeping the space safe for members to access during this time. If required, please ensure you have read, understood and agreed to the Working Safely in the Office During COVID-19 policy before accessing the space. 18.0 GDPR We have a GDPR policy in place to protect both our employees and MEMBERS with respect to keeping all credentials shared with GENERATOR secure and safe. Our GDPR policy can be found HERE. 19.0 Information Disclosure GENERATOR reserves the right at all times to disclose any information about you. This applies to your participation in and use of the Services as GENERATOR deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in GENERATORʼs sole discretion. 20.0 Confidentiality You acknowledge and agree that during your participation in and use of the Services you may be exposed to Confidential Information. “Confidential Information” shall mean all information, in whole or in part, that is disclosed by GENERATOR or any participant or user of the Services or any employee, affiliate, or agent thereof, that is nonpublic, confidential or proprietary in nature. Confidential Information also includes, without limitation, information about business, sales, operations, knowhow, trade secrets, technology, products, employees, customers, marketing plans, financial information, services, business affairs, any knowledge gained through examination or observation of or access to the facilities, computer systems and/or books and records of GENERATOR, any analyses, compilations, studies or other documents prepared by GENERATOR or otherwise derived in any manner from the Confidential Information and any information that you are obligated to keep confidential or know or have reason to know should be treated as confidential. Your participation in and/or use of the Services obligates you to: maintain all Confidential Information in strict confidence; not to disclose Confidential Information to any third parties; not to use the Confidential Information in any way directly or indirectly detrimental to GENERATOR or any participant or user of the Services. All Confidential Information remains the sole and exclusive property of GENERATOR or the respective disclosing party. You acknowledge and agree that nothing in this TOU or your participation or use of the Services will be construed as granting any rights to you, by license or otherwise, in or to any Confidential Information or any patent, copyright or other intellectual property or proprietary rights of GENERATOR or any participant or user of the Services. 21.0 Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GENERATOR PROVIDES THE SERVICES “AS IS” AND WITH ALL FAULTS, AND HEREBY DISCLAIM WITH RESPECT TO THE SERVICES ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) WARRANTIES, DUTIES OR CONDITIONS OF OR RELATED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, LACK OF VIRUSES, ACCURACY OR COMPLETENESS OF RESPONSES, RESULTS, WORKMANLIKE EFFORT AND LACK OF NEGLIGENCE. ALSO, THERE IS NO WARRANTY, DUTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, AND CORRESPONDENCE TO DESCRIPTION OR NONINFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY, OR ARISING OUT OF PARTICIPATION IN OR THE USE OF THE SERVICES, REMAINS WITH YOU. 22.0 Exclusion of Incidental, Consequential and Certain Other Damages TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENERATOR OR ITS SUBSIDIARIES (WHETHER OR NOT WHOLLY-OWNED), AFFILIATES, DIVISIONS, AND THEIR PAST, PRESENT AND FUTURE OFFICERS, AGENTS, SHAREHOLDERS, MEMBERS, REPRESENTATIVES, EMPLOYEES, SUCCESSORS AND ASSIGNS, JOINTLY AND INDIVIDUALLY BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, CONSEQUENTIAL OR OTHER DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR: LOSS OF PROFITS, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, FAILURE TO MEET ANY DUTY (INCLUDING OF GOOD FAITH OR OF REASONABLE CARE), NEGLIGENCE, AND ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE PARTICIPATION IN OR INABILITY TO PARTICIPATE IN OR USE OF THE SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS AGREEMENT, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF GENERATOR , AND EVEN IF GENERATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. 23.0 Limitation of Liability and Remedies NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED ABOVE AND ALL DIRECT OR GENERAL DAMAGES), THE ENTIRE LIABILITY OF GENERATOR OR ITS SUBSIDIARIES (WHETHER OR NOT WHOLLY-OWNED), AFFILIATES, DIVISIONS, AND THEIR PAST, PRESENT AND FUTURE OFFICERS, AGENTS, SHAREHOLDERS, MEMBERS, REPRESENTATIVES, EMPLOYEES, SUCCESSORS AND ASSIGNS UNDER ANY PROVISION OF THIS TOU AND YOUR EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING SHALL BE LIMITED TO ACTUAL DAMAGES INCURRED BY YOU BASED ON REASONABLE RELIANCE UP TO TEN POUNDS (GBP £10.00). THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE. 24.0 Non-Disparagement You shall, during and after the participation in and use of the Services, refrain from making any statements or comments of a defamatory or disparaging nature to any third party regarding GENERATOR, or any of GENERATOR officers, directors, employees, personnel, agents, policies, services or products, other than to comply with law. 25.0 Indemnification You release, and hereby agree to indemnify, defend and save harmless GENERATOR and GENERATOR’s subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based upon or arising out of your negligent actions, errors and omissions, willful misconduct and fraud in connection with the participation in or use of the Services. You further agree in the event that you bring a claim or lawsuit in violation of this agreement, you shall be liable for any attorneysʼ fees and costs incurred by GENERATOR or its respective officers and agents in connection with the defense of such claim or lawsuit. 26.0 Severability In the event that any provision or portion of this TOU is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this TOU shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.
